Terms of Service

1. Acceptance of Terms

By accessing or using the Valzotra platform (valzotra.com and app.valzotra.com), operated by BAU ENTERPRISES LLC (“Valzotra,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our services.

We may update these Terms from time to time. Continued use of Valzotra after changes constitutes acceptance of the updated Terms. We will notify you of material changes via the platform or email.

2. Description of Service

Valzotra is a tax compliance and operations management platform for short-term rental hosts. The platform provides tools for tracking work hours, mileage, expenses, revenue, property management, guest communications, checklists, inventory, and tax-ready record exports.

Valzotra is not a tax advisor, CPA, or legal counsel. The platform provides tools to help you organize and document your business activities. You are responsible for the accuracy of the information you enter and for consulting qualified tax and legal professionals for advice specific to your situation.

3. Host and Guest Accounts

Valzotra serves two types of users with different rights and obligations:

• Hosts are paying subscribers who create an organization, manage properties, and use the full platform. Hosts are responsible for their subscription, team members, and all data entered under their organization. Hosts agree to all terms in this agreement, including billing obligations (Section 6).
• Guests are invited by hosts to access a free, limited portal for their stay. Guest accounts are always free — no subscription or payment is required. Guests may view check-in details, access codes, property information, and communicate with their host. Guests agree to these Terms (excluding billing obligations) and our Privacy Policy upon creating an account.

Guest data is managed by the host's organization. Guests may request deletion of their account and personal data at any time in accordance with our Privacy Policy.

4. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use Valzotra. By using the platform, you represent that you meet these requirements.

5. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately at support@valzotra.com if you suspect unauthorized access to your account.
• Each account is associated with a single organization (tenant). Data is isolated between organizations.

6. Acceptable Use

You agree not to:

• Use Valzotra for any unlawful purpose or to facilitate fraud or tax evasion.
• Attempt to access another user's account or data.
• Reverse engineer, decompile, or disassemble any part of the platform.
• Use automated tools (bots, scrapers) to access the platform without our written permission.
• Upload malicious files, viruses, or code designed to disrupt the service.
• Interfere with or disrupt the integrity or performance of the platform.
• Resell, sublicense, or redistribute the service without our written consent.

7. Subscription and Billing

• Free trial: New accounts receive a 14-day free trial with access to all features.
• Paid plans: After the trial, a paid subscription is required to continue using the platform. Plan tiers and pricing are displayed at signup and in Settings.
• Billing: Subscriptions are billed monthly or annually through Stripe. You authorize recurring charges to your payment method.
• Cancellation: You may cancel your subscription at any time from Settings. Access continues through the end of the current billing period.
• Refunds: We do not provide refunds for partial billing periods. If you believe you were charged in error, contact support@valzotra.com.
• Price changes: We may change pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance.

8. Your Data

• Ownership: You retain ownership of all data you enter into Valzotra, including compliance records, property information, reservation details, and uploaded files.
• License: You grant Valzotra a limited license to process, store, and display your data solely for the purpose of providing the service to you.
• Export: You may export your data at any time using the built-in export tools (CSV format).
• Deletion: Upon account deletion, your data will be removed in accordance with our Privacy Policy retention schedule.
• Backups: While we maintain regular backups for disaster recovery, you are responsible for maintaining your own copies of critical business records.

9. Financial Data (Plaid Integration)

If you choose to connect bank accounts or credit cards through Plaid, you authorize Valzotra to access transaction data from your financial institutions for the purpose of importing and categorizing business expenses and revenue. This access is governed by our Privacy Policy and Plaid's terms of service. You may disconnect financial accounts at any time from Settings.

10. AI Features

Valzotra includes AI-powered features (such as guest message drafting and transaction categorization) powered by third-party AI models. AI-generated content is provided as suggestions only. You are responsible for reviewing and approving all AI-generated output before it is sent or applied. Valzotra is not liable for errors in AI-generated content.

11. Team Access

Account owners may invite team members with defined roles and permissions. The account owner is responsible for managing team access and for any actions taken by team members within their organization.

12. Intellectual Property

The Valzotra platform, including its design, code, features, documentation, and branding, is the property of BAU ENTERPRISES LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the service as described herein.

13. Service Availability

• We strive to maintain high availability but do not guarantee uninterrupted service.
• We may perform scheduled maintenance with reasonable advance notice.
• We are not liable for service interruptions caused by factors outside our control (internet outages, third-party service failures, force majeure events).

14. Limitation of Liability

To the maximum extent permitted by law, Valzotra and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or data
• Tax penalties, interest, or additional assessments resulting from IRS audits
• Errors in data entry, calculations, or exports
• Unauthorized access to your account
• Service interruptions or data loss

Our total liability for any claim arising from or relating to these Terms or the service shall not exceed the amount you paid to Valzotra in the twelve (12) months preceding the claim.

15. Disclaimer of Warranties

Valzotra is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will meet your specific tax compliance requirements or that the platform will be error-free.

16. Indemnification

You agree to indemnify, defend, and hold harmless BAU ENTERPRISES LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

17. Termination

• By you: You may close your account at any time by contacting us at support@valzotra.com.
• By us: We may suspend or terminate your account for violation of these Terms, non-payment, or if required by law. We will provide notice when reasonably possible.
• Effect: Upon termination, your right to use the platform ceases immediately. Data retention follows our Privacy Policy.

18. Dispute Resolution

Any disputes arising from these Terms or your use of Valzotra shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in St. Clair County, Illinois. You agree to waive any right to a jury trial or to participate in a class action.

19. Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict of law principles.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Valzotra regarding your use of the service and supersede all prior agreements.
